Terms of Service
The rules and guidelines that govern your use of the Tektite platform.

PLEASE READ THESE TERMS CAREFULLY. SECTION 12 CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. UNLESS YOU OPT OUT WITHIN 30 DAYS, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL ARBITRATION AND WAIVE YOUR RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION.
1. Introduction
These Terms of Service ("Terms") govern your access to and use of the Tektite platform ("Service") operated by Tektite Systems LLC ("Tektite," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms.
If you are accepting these Terms on behalf of an organization, you represent that you have the authority to bind that organization. These Terms apply to all users of the Service. Fees, billing, and commercial terms are governed by the applicable license agreement or order form, not these Terms.
2. Definitions
"Account" means your organization’s Tektite account, including all users, data, and configuration. "Customer Data" means all data, content, and materials you or your users upload, store, or transmit through the Service, including vault content, documents, and files. "User" means an individual authorized by Customer to access the Service under Customer’s Account. "Service" means the Tektite platform, including all associated APIs, integrations, and web interfaces.
3. Account Terms
You must be at least 18 years old and capable of forming a binding contract to use the Service. The Service is intended for business and professional use.
You are responsible for maintaining the security of your account credentials. You must notify us immediately at support@tektite.team if you believe your account has been compromised. Tektite is not liable for any loss resulting from unauthorized use of your account.
4. Use of the Service
Subject to these Terms, Tektite grants you a limited, non-exclusive, non-transferable, non-sublicensable right to access and use the Service during the term of your subscription.
You shall not: reverse engineer, decompile, or disassemble any part of the Service; use the Service to build a competing product or service; resell, sublicense, or share access with third parties outside your organization; circumvent any access controls, usage limits, or security measures; use the Service in any way that violates applicable law; or export the Service in violation of any restrictions, laws, or regulations.
5. Customer Data
You retain all right, title, and interest in your Customer Data. Tektite does not claim any ownership over Customer Data.
You grant Tektite a limited license to host, store, process, and transmit Customer Data solely as necessary to provide and operate the Service. This license terminates when you delete your Customer Data or your account is terminated.
The Service stores Customer Data within your dedicated, isolated tenant environment. Customer Data is encrypted at rest and in transit. For full details, see our Privacy Policy.
You may export your Customer Data at any time through the Service’s built-in export functionality. Upon account termination, we will make Customer Data available for export for 30 days, after which it will be permanently deleted.
Customer Data is stored in AWS data centers in the United States. If you require a specific data residency, contact us to discuss options.
6. Term and Termination
These Terms are effective when you create an account and continue until terminated. You may terminate your account at any time through the Service or by contacting support@tektite.team.
We may terminate or suspend your account immediately if you breach these Terms or the Acceptable Use Policy, or become subject to bankruptcy or insolvency proceedings. We may also discontinue the Service entirely with 90 days’ written notice.
Upon termination: your right to access the Service ceases, Customer Data is available for export for 30 days then permanently deleted, and any outstanding fees under your license agreement become immediately due.
7. Service Availability
We will use commercially reasonable efforts to make the Service available, but do not guarantee uninterrupted access. The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control.
We may update or modify the Service at any time. We will provide reasonable notice of material changes that negatively affect your use.
8. Indemnification
You agree to indemnify and hold Tektite (and its officers, employees, and agents) harmless, including costs and attorneys’ fees, from any claim or demand made by any third party due to or arising out of your use of the Service, your violation of these Terms, your violation of applicable laws, or your Customer Data.
Tektite reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us. Tektite will use reasonable efforts to notify you of any such claim upon becoming aware of it.
9. Intellectual Property
Tektite retains all right, title, and interest in the Service, including all software, documentation, trademarks, and other intellectual property. Nothing in these Terms grants you any rights to Tektite’s intellectual property beyond the limited license in the Use of the Service section.
If you provide suggestions, feature requests, or other feedback about the Service, Tektite may use that feedback without restriction or obligation to you.
10. Warranties and Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKTITE EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT.
TEKTITE DOES NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, COMPLETE, LEGAL, OR SAFE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEKTITE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, COST OF PROCUREMENT OF SUBSTITUTE PRODUCTS, OR BUSINESS OPPORTUNITY, REGARDLESS OF THE CAUSE OF ACTION OR THEORY OF LIABILITY.
TEKTITE’S TOTAL AGGREGATE LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNTS PAID BY CUSTOMER IN THE 12 MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.
12. Dispute Resolution
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.
Before filing a formal dispute, you agree to try to resolve it informally by contacting us at support@tektite.team. If a dispute is not resolved within 30 days, you or Tektite may proceed to binding arbitration.
Any dispute arising out of or relating to these Terms or the Service will be resolved by binding arbitration administered by JAMS under its Streamlined Arbitration Rules and Procedures, conducted by a single arbitrator in Wilmington, Delaware (or by telephone or videoconference at your election). The arbitrator’s decision will be final and binding.
TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND TEKTITE EACH WAIVE THE RIGHT TO A JURY TRIAL. YOU AND TEKTITE EACH WAIVE THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING.
You may opt out of the arbitration and class action waiver provisions by sending written notice to support@tektite.team within 30 days of first accepting these Terms.
13. General
You may not assign these Terms without our prior written consent. Tektite may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
These Terms, together with the Acceptable Use Policy and Privacy Policy, constitute the terms governing your use of the Service. Commercial terms (fees, billing, SLAs, support) are governed by the applicable license agreement or order form.
We may update these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
If any provision of these Terms is found unenforceable, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect. No waiver by Tektite of any default shall be deemed a waiver of any prior or subsequent default.
Upon termination of these Terms, the following sections survive: Use of the Service (Restrictions), Customer Data, Indemnification, Intellectual Property, Warranties and Disclaimers, Limitation of Liability, and General.
